1. Establishment and Capital

A Joint Stock Company has been established between the founders whose names, surnames, places of residence and nationalities are written below by changing the type of GBL Gül Biyoloji Laboratuvarı Sanayi ve Ticaret Limited Şirketi registered in ISTANBUL Trade Registry Office with MERSIS number 0414005637300014 in accordance with Articles 180 and 193 of the Turkish Commercial Code.

The capital of the Company is TL 1,000,000.00 in total, divided into 4,000 shares of TL 250.00 each. All these shares are registered shares. The distribution of this capital is as follows: Mustafa Çetin Özbudun : TL 650,000.00 corresponding to 2,600 shares of TL 250.00 each, Arzu Özbudun : 350,000.00 Turkish Liras corresponding to 1,400 shares each with a value of 250.00 Turkish Liras, 500,000.00 Turkish Liras of the subscribed capital was covered from the paid-in capital of GBL Gül Biyoloji Laboratuvarı Sanayi ve Ticaret Limited Şirketi, which changed type according to Articles 180 to 193 of the Turkish Commercial Code, and the remaining 500,000.00 Turkish Liras was covered from retained earnings.

- To design, procurement, production, quality control, marketing, sales, and delivery of diagnostic medical devices within the scope of the In-Vitro Medical Devices Regulation published in the Official Journal of the European Union on 05.05.2017,

- To design, procurement, production, quality control, marketing, sales, and delivery of medical devices within the scope of the Medical Devices Regulation published in the Official Journal of the European Union on 05.05.2017,

- To carry out the design, procurement, production, quality control, marketing, sales and delivery of the active substances and biocidal products mentioned in the Biocidal Products Regulation published in the Official Gazette No. 27449 on 1.12.2009,

- To carry out the design, procurement, production, quality control, marketing, sales, and delivery of all kinds of biological or chemical reagents and test kits used for testing and diagnostic purposes, other than three separate regulations mentioned above,

- Manufacturing, importing, exporting, trading, and marketing of all kinds of vaccines, serums, antigens, biological products such as genetic products and chemical substances used in human medicine.

Arzu Özbudun

In 2001, she graduated from Kadıköy Anatolian High School, in 2005 from Bilgi University Faculty of Law and in 2009 from Istanbul University Public Law master’s Program. Since 2007, she has been working as a lawyer registered with the Istanbul Bar Association as a consultant lawyer in financial companies. In 2011, she became a company partner through inheritance. She speaks English at an advanced level. She likes cinema, literature and traveling.

Mustafa Çetin Özbudun

He graduated from Saint Joseph French High School in 1997, Boğaziçi University Tourism Management bachelor’s degree in 2001 and Galatasaray University Economics master’s degree in 2005. Since 2001, he has been working at the family owned GBL Gül Biology Laboratory. After working in accounting, marketing & sales, tender, quality management system, import departments, he became a partner and general manager in 2011 through inheritance. He is currently active in export, investments, and financial management processes. He is fluent in French and English. He likes to read about management science, economics, finance, politics, and history. He is a veteran senior tennis player. He likes to play and listen classical guitar. He married in 2008 and became a father in 2010.
